1. About Us
Webwoo is a trading name of Danny Brogan (“we”, “us”, “our”).
We provide website design, development, maintenance, and related digital services.

2. Acceptance of Terms
By commissioning services from Webwoo or using our website, you agree to be bound by these Terms and Conditions. If you do not agree, you should not proceed with our services.
3. Services
We provide services including, but not limited to:
Website design and development
WordPress website builds and customisation
Website maintenance and updates
Digital consultancy and support
The specific scope of work will be agreed in writing (by email or proposal) before work begins.
4. Quotes and Pricing
All quotes are provided in GBP (£) and are valid for 30 days unless otherwise stated.
Prices are based on the agreed scope of work and may change if requirements are altered after agreement.
Any additional work outside the agreed scope will be quoted and approved before commencement.
5. Payment Terms
Deposits may be required before work begins
Invoices are payable within the agreed payment period (typically 14 or 30 days)
Final payment is due upon project completion unless otherwise agreed in writing
Late payments may result in work being paused until payment is received.
6. Client Responsibilities
You agree to:
Provide accurate and complete information required to carry out the work
Supply all content (text, images, logos, credentials) in a timely manner
Ensure you have the legal right to use any materials provided
Delays in providing required materials may impact delivery timelines.
7. Revisions and Approval
Unless otherwise stated, reasonable revisions are included within the agreed scope of work.
Once final approval is given, further changes may be chargeable.
8. Intellectual Property
Upon full payment, ownership of the final website and agreed deliverables will transfer to you, except where third-party licences apply (such as themes, plugins, fonts, or software).
Webwoo retains the right to display completed work in portfolios, case studies, and marketing materials unless agreed otherwise in writing.
9. Third-Party Services
We may recommend or integrate third-party services including hosting providers, plugins, or software tools.
We are not responsible for the performance, security, availability, or changes made by third-party providers.
10. Maintenance and Hosting
Website Maintenance Services
Where a maintenance plan is agreed, Webwoo will provide ongoing website support as outlined in the selected plan. This may include:
Core software updates (e.g. WordPress)
Theme and plugin updates
Basic security monitoring
Minor content updates (where included)
Periodic backups (where included)
The exact inclusions, frequency, and limitations of maintenance services will be confirmed in writing at the time of agreement.
Exclusions
Unless explicitly stated, maintenance plans do not include:
New website features or redesigns
Custom development work
Major content creation
Fixes required due to third-party plugin conflicts, hacking, or hosting failures
Any work outside the agreed maintenance plan will be quoted separately.
Client Responsibilities
You agree to:
Maintain valid licences for any paid themes or plugins
Provide timely access credentials where required
Inform Webwoo of any changes that may affect the website
Webwoo is not responsible for issues caused by unauthorised changes made by third parties.
Third-Party Hosting
Website hosting is provided by a third-party hosting provider, CLOOK, unless otherwise agreed in writing.
Webwoo does not own, operate, or control the hosting infrastructure.
Hosting Responsibility
While Webwoo may assist with hosting setup, configuration, or liaison with the hosting provider, we are not responsible for:
Hosting downtime or service interruptions
Server performance or availability
Data loss caused by hosting failures
Changes made by the hosting provider
Any hosting issues are subject to the hosting provider’s own terms, policies, and service level agreements.
Backups
Where backups are included as part of a maintenance plan, they are provided as a best-effort service.
Clients remain responsible for maintaining their own independent backups where required.
Suspension of Services
Webwoo reserves the right to suspend maintenance services where:
Payments are overdue
Hosting access is removed or restricted
Website security is compromised due to client action or inaction
Service will resume once the issue is resolved.
Limitation of Liability (Hosting & Maintenance)
Webwoo shall not be liable for losses arising from:
Hosting provider outages or failures
Third-party software conflicts
Security breaches outside of our direct control
Our total liability remains limited to the fees paid for the relevant maintenance services.
11. Limitation of Liability
Webwoo shall not be liable for:
Loss of profits, revenue, or business
Loss of data
Indirect or consequential losses
Issues arising from third-party software, hosting, or services
Our total liability is limited to the amount paid for the services provided.
12. Termination
Either party may terminate a project in writing.
Any work completed up to the termination date will be invoiced and must be paid in full.
Deposits are non-refundable once work has commenced.
13. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.
14. Force Majeure
Webwoo shall not be held liable for delays or failure to perform services due to circumstances beyond reasonable control, including illness, technical failures, or events of force majeure.
15. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
16. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time.
